SEC Halts Grayscale Large Cap Fund Approval for ‘Review’

The U.S. Securities and Exchange Commission (SEC) is reviewing its recent approval of Grayscale Investments’ conversion of its Digital Large Cap Fund (GDLC) into an exchange-traded fund (ETF). This decision, communicated in a July 1st letter, signifies a shift from the typical commission voting process. Instead, the conversion was approved via delegated authority—a procedure where SEC staff, rather than the commissioners themselves, granted the approval.

The letter, citing Rule 431 of the Commission’s Rules of Practice, explicitly states the SEC’s intention to review this delegated action. This review effectively places a temporary hold, or stay, on the July 1st order until further notice from the Commission. The review process is standard procedure, triggered when a commissioner requests a review of an SEC action. Historically, such requests have frequently targeted ETF disapproval decisions.

The GDLC fund, holding approximately $755 million in assets, offers diversified exposure to major cryptocurrencies. Its holdings include Bitcoin (BTC), Ethereum (ETH), XRP, Solana (SOL), and Cardano (ADA), mirroring the composition of CoinDesk’s CoinDesk 5 Index. The conversion to an ETF format, if finalized, would offer investors a more readily accessible and regulated avenue for investing in this basket of digital assets.

The SEC’s review process introduces uncertainty regarding the long-term implications of the initial approval.
