Bitcoin Asset Manager Parataxis to Go Public in $400M SPAC Deal Backed by SilverBox

Parataxis Holdings, a digital asset manager, is going public via a SPAC merger with SilverBox Corp IV, creating Parataxis Holdings Inc. Trading under the ticker “PRTX” on the NYSE, the combined entity is valued at $400 million at a $10 share price, with the potential to reach $800 million if a further $400 million is raised. This public listing provides investors with direct exposure to Bitcoin (BTC).

Parataxis employs an active Bitcoin management strategy, generating yield through low-volatility trading and treasury-style operations, differentiating it from firms holding BTC passively. The platform, managed by veterans from Parataxis Capital Management, caters to institutional clients, including pension funds and family offices.

A significant strategic move was the acquisition of a controlling stake in Bridge Biotherapeutics, a South Korean healthcare firm listed on KOSDAQ. Rebranded as Parataxis Korea, this subsidiary serves as a regional hub for Parataxis’s Bitcoin treasury strategy. Following the announcement, Bridge’s shares surged by 350%, reflecting strong investor interest in this Bitcoin-proxy investment.

The selection of South Korea is strategic. The company highlights the country’s substantial user base, supportive regulatory environment for digital assets, and the absence of a spot Bitcoin ETF, creating a favorable market for BTC-focused public companies. This strategy mirrors successful ventures in Japan, where companies like Metaplanet experienced significant share price growth after shifting their focus to Bitcoin.

The SPAC deal will enable Parataxis to expand its U.S. treasury operations and pursue other “special situations” investments. A successful outcome would establish Parataxis as one of the few publicly traded companies providing direct, active Bitcoin exposure outside the ETF structure. The transaction is subject to shareholder approval and SEC review. The $31 million already raised will be invested in Bitcoin.
