Bitdeer Raises $330M Via Convertible Note Sale
Bitdeer Technologies (BTDR), a prominent Bitcoin miner and ASIC manufacturer, successfully secured $330 million through a private placement of convertible senior notes. This strategic move provides the company with substantial capital to fuel its growth initiatives and solidify its position in the competitive cryptocurrency mining landscape.
The notes, maturing on July 1, 2031, carry a 4.875% interest rate and a conversion price of $15.87 per share. This conversion price represents a premium of approximately 44% compared to BTDR’s current trading price of around $11, indicating investor confidence in the company’s future prospects. The conversion rate is set at 62.9921 Class A shares per $1,000 principal amount. A full conversion of the notes could potentially result in the issuance of roughly 20.8 million new shares.
To mitigate the potential dilution from this significant share issuance, Bitdeer implemented a clever strategy. The company pre-purchased a call option from Barclays, paying $129.6 million for the right to acquire over 10.2 million shares (approximately 49% of the potential conversion volume) at a zero strike price. This strategic move allows Bitdeer to fulfill conversion obligations using shares from Barclays’ inventory, thereby preserving its existing share structure and minimizing potential dilution of existing shareholder value.
The proceeds from the private placement will be strategically allocated to various key areas. A substantial portion, $129.6 million, will be used to cover the cost of the call option with Barclays. An additional $36.1 million is earmarked for settling concurrent note exchange transactions. The remaining funds will be directed towards bolstering the company’s infrastructure through datacenter expansion, advancing its ASIC manufacturing capabilities, and strengthening working capital.
This investment in infrastructure and technology is crucial for Bitdeer’s long-term competitiveness. The company is actively developing new ASIC chip designs, aiming to create significantly more efficient mining rigs compared to current market offerings. These advancements could lead to substantial cost reductions and improved profitability, enhancing Bitdeer’s standing within the Bitcoin mining industry.
