Classover Taps $500M Convertible Note Deal to Boost Solana Treasury Strategy

Classover Holdings (KIDZ), a publicly traded online education company, is significantly expanding its investment in Solana (SOL). The company announced a strategic agreement with Solana Growth Ventures to issue up to $500 million in senior secured convertible notes. A substantial portion of the proceeds, up to 80%, will be directly allocated to acquiring SOL tokens, significantly bolstering KIDZ’s Solana treasury.

This move represents a considerable commitment to Solana’s ecosystem. The initial funding round under this agreement will provide $11 million for immediate SOL purchases. The remaining funds, contingent upon the full issuance of the notes, will further expand KIDZ’s Solana holdings.

The convertible notes offer an attractive investment opportunity. They can be converted into Class B shares of Classover Holdings at a price double the company’s trading price prior to the closing of the agreement. The conversion price will be subject to adjustments as outlined in the terms of the notes, protecting investors from potential market volatility.

This strategic initiative by KIDZ follows a previous acquisition of 6,472 SOL for approximately $1.05 million.
