Defi Dev Hikes Convertible Note Offering to $112M for Buyback, More SOL Purchase
Defi Development Corp (DFDV), a Nasdaq-listed company, announced a significant capital raise to bolster its Solana (SOL) focused treasury strategy. The firm is issuing $112.5 million in convertible notes, an upsize from the initially planned $100 million, maturing in 2030 with a 5.5% annual interest rate. These notes offer investors the option to convert their debt into equity at $23.11 per share, representing a roughly 10% premium over Monday’s closing price. A further $25 million in notes is available for purchase, with the offering expected to close on July 7th.
Despite the announcement, DFDV shares experienced a 12% decline in early Wednesday trading. This downturn, however, comes after a substantial 3,500% increase since the company’s pivot to cryptocurrency, although it’s currently more than 60% below its May peak.
The company intends to allocate $75 million of the proceeds to a prepaid forward stock purchase transaction negotiated with an initial convertible note investor. This arrangement allows the investor to hedge their convertible note position using derivative trades and short sales. The remaining capital will be used for general corporate purposes, including additional SOL acquisitions.
This fundraising round follows a recent $5 billion equity line of credit secured with RK Capital Management. DFDV, formerly known as real estate technology platform Janover, is actively expanding its crypto holdings, mirroring the strategies employed by other publicly traded firms that are accumulating significant cryptocurrency reserves on their balance sheets. The company operates Solana validators and actively accumulates SOL tokens, making it a prominent player within the Solana ecosystem. The strategic move to increase its SOL holdings solidifies its commitment to the Solana blockchain and signifies a significant investment in the cryptocurrency’s future. The company’s aggressive strategy suggests a strong belief in the long-term prospects of Solana and its continued growth within the decentralized finance (DeFi) space.
