Mara Holdings, a prominent Bitcoin mining company, significantly bolstered its Bitcoin holdings through a substantial capital raise. The company successfully completed a $950 million offering of 0.00% convertible senior notes due 2032. This substantial influx of capital is primarily allocated to expanding the company’s Bitcoin treasury. The offering’s potential could reach $1.15 billion if underwriters fully exercise their option.
After deducting expenses, approximately $940.5 million in net proceeds will directly fund the acquisition of additional Bitcoin. A portion of the funds, $19.4 million, will be used to retire existing 1.00% notes due 2026, demonstrating a proactive approach to debt management. Furthermore, a strategic allocation will be dedicated to capped call transactions. This measure aims to mitigate potential dilution risks associated with the convertible notes, safeguarding shareholder value. The remaining funds will support general corporate initiatives.
The capped calls feature a strike price of $24.14 per share, representing a 40% premium compared to Mara’s reference price of $17.24.
