Tron Inc. Deal Gives Justin Sun’s Father Control of Public Firm Via $100M Token Deal
A recent SEC filing reveals a significant financial transaction involving Tron DAO, Justin Sun, and SRM Entertainment (soon to be Tron Inc.). The filing details a $100 million PIPE (private investment in public equity) deal, uniquely funded entirely with TRX tokens, the cryptocurrency associated with Tron. This transaction grants Justin Sun’s father, Weike Sun, controlling interest on the board of SRM.
The deal’s structure is noteworthy. Weike Sun’s investment vehicle acquired 100,000 shares of SRM Series B preferred stock, convertible into 200 million common shares, plus 220 million warrants at a $0.50 strike price—all using TRX. Crucially, the filing also highlights the appointment of Tron-aligned individuals to key board committees. Zhihong Liu (Steve Liu), CEO of stablecoin issuer Techteryx and a strategic advisor to Tron DAO, and Zi Yang, a senior executive at Tronscan, joined the audit, compensation, and nominating committees.
Despite the apparent connection, Liu explicitly stated that Tron DAO has no direct investment, governance rights, or formal role in the SRM deal. He emphasized that the transaction is primarily Weike Sun’s personal undertaking, and indeed, the Tron DAO itself is not mentioned in the 8K filing. The influence of Tron appears indirect, emanating from the backgrounds and affiliations of the newly appointed board members deeply embedded within the Tron ecosystem.
Interestingly, the renamed firm, Tron Inc., intends to acquire and hold up to $210 million worth of TRX, mirroring MicroStrategy’s bitcoin-based corporate treasury strategy. This move suggests a significant commitment to TRX as a long-term asset. The transaction was facilitated by Dominari Securities, a brokerage firm with notable connections, including Donald Trump Jr. and Eric Trump on its advisory board and an office located in Trump Tower. Dominari Securities received a $50,000 fee for their services.
Market reaction to the news has been mixed. SRM (the listed Tron entity) experienced a 15% drop, closing at $7.73, while TRX saw a smaller 2.5% decline, trading at $0.27. The SEC filing sheds light on the complex interplay between personal investments, corporate strategies, and the influence of cryptocurrency within traditional financial structures.
