If Strategy Goes to $1, We’ll Be Fine: Michael Saylor

Michael Saylor, Executive Chairman of MicroStrategy (MSTR), addressed concerns regarding the company’s potential multiple to net asset value (mNAV) falling below 1, a scenario experienced during the previous bear market. He differentiated MicroStrategy’s position from that of the Grayscale Bitcoin Trust (GBTC), highlighting key operational differences.

Saylor emphasized that unlike GBTC, a closed-end trust with limited operational flexibility, MicroStrategy is an active business entity. This operational capacity allows the company to actively manage its capital structure, leveraging debt and other financial instruments. He posited that an mNAV below 1 would signify a fundamental loss of shareholder confidence in the company’s management.

To counter such a scenario, Saylor outlined MicroStrategy’s response strategy. Should the stock price plummet to $1, the company would utilize its preferred stock (STRK and STRF) and fixed-income instruments to repurchase its common stock. This proactive measure would serve to recapitalize the company and bolster shareholder value.

Saylor underscored the crucial role of flexibility and optionality in value creation. He argued that a diverse range of options enhances a company’s ability to navigate market fluctuations and generate superior returns. MicroStrategy’s strategy, he explained, revolves around maximizing optionality to mitigate risks and capitalize on opportunities.

A key component of this strategy is MicroStrategy’s access to multiple capital markets and its ability to utilize at-the-market (ATM) offerings. This multi-channel access ensures liquidity and financial resilience, enabling the company to react effectively to market conditions and maintain its operational stability. In essence, Saylor presented MicroStrategy’s multifaceted approach to capital management as a key differentiator and a significant advantage in navigating market volatility.
